1. Acceptance of Terms

By accessing or using MaxxBot ("the Service"), operated by ScaleX LLC, you agree to these Terms of Service ("Terms") and to our Privacy Policy. If you do not agree, do not use the Service.

MaxxBot is currently offered as a beta product and is provided on an "as-is" basis.

2. Description of the Service

MaxxBot is an AI-powered assistant designed to support enterprise procurement, vendor management, outsourcing, and third-party services decision-making. It answers from ScaleX's structured procurement reference data and methodology, and can classify spend data you choose to upload.

MaxxBot provides:

• Market benchmarks and ranges
• Commercial and negotiation frameworks
• Vendor and contract evaluation considerations
• Classification of spend data you upload

MaxxBot does not:

• Provide legal, tax, or regulatory advice
• Make decisions on your behalf
• Guarantee outcomes, savings, or accuracy

3. Accounts & Eligibility

Using MaxxBot requires creating an account. You are responsible for the accuracy of your registration information and for activity that occurs under your account. You must not share your account or let others use it, and you must not create accounts through automated means. Authentication is handled by our provider (Clerk).

4. Acceptable Use

You agree that you will not:

• Upload highly sensitive, confidential, regulated, or third-party personal information (see the Privacy Policy for details)
• Attempt to overwhelm, script, scrape, or otherwise abuse the Service. To keep the Service fast and to bound costs, we apply per-account and per-network rate limits; exceeding them will temporarily pause your requests.
• Attempt to reverse engineer, probe, or circumvent the Service's security or isolation
• Attempt to access another user's data or account
• Use the Service in violation of applicable laws

5. No Professional Advice

MaxxBot provides informational and decision-support content only.

Any outputs related to contracts, pricing, negotiations, or operations:

• Are not legal advice
• Are not final or enforceable language
• Must be reviewed by qualified professionals (e.g., legal counsel)

You remain solely responsible for decisions made using the Service.

6. Data Accuracy & Limitations

While MaxxBot is grounded in structured data and industry frameworks:

• Data may be incomplete, outdated, or generalized
• Responses may contain errors or omissions
• Benchmarks are indicative, not definitive

You acknowledge these limitations.

7. Beta Disclaimer

MaxxBot is a beta product and may:

• Change without notice
• Contain bugs or inaccuracies
• Be unavailable at times
• Produce inconsistent responses

Feedback is encouraged (via the in-app feedback tool) and may be used to improve the Service.

8. Intellectual Property

All content, branding, frameworks, and underlying materials related to MaxxBot are owned by ScaleX LLC or its licensors. You retain ownership of the data you upload; you grant us a limited right to process it solely to provide the Service to you.

You are granted a limited, non-exclusive, non-transferable right to use the Service for internal evaluation and business purposes.

9. Limitation of Liability

To the maximum extent permitted by law:

• MaxxBot and ScaleX LLC shall not be liable for indirect, incidental, or consequential damages
• Total liability shall not exceed the amount you paid to use the Service (if any)

10. Termination

Access to MaxxBot may be suspended or terminated at any time, with or without notice, particularly during the beta period or in response to a violation of these Terms.

11. Changes to These Terms

These Terms may be updated from time to time. Material changes will be reflected in the "last updated" date above. Continued use of the Service constitutes acceptance of the updated Terms.
